Our team is structured to bring our clients the benefit of our experience in key niche areas, including:

Acquisitions and Dispositions

Saxon|Gilmore represents clients in the acquisition and disposition of hotels, residential and mixed-use facilities, as well as in financing, construction, and development of hotels, resorts, private clubs, and their related recreational amenities. The work includes project due diligence, analysis of applicable zoning, survey, title, and land use; review and advice on management agreements, franchise agreements, structuring and negotiating the investment; and financing of the asset being acquired.

Financing and Restructuring

Saxon|Gilmore guides clients through complex mixed-use projects, involving financing loans, note purchases, and advice on securitized loans and various debt/equity financing structures.

Hotel Management and Operation

Our attorneys are well-versed in the issues involved in the preparation and negotiation of long-term hotel management, franchise, license, employment, and related operating agreements. Saxon|Gilmore protects our client’s business interests by establishing practices and ensuring compliance.

Mixed-Use Resort Development

Our attorneys are experienced with structuring and preparing the association and community governance documents that establish and govern the resort or residential development, including master declarations, covenants, conditions and restrictions, condominium declarations, reciprocal easement agreements, shared facilities and cost sharing agreements, and the formation of owners’ associations who manage and govern the community.

Membership Clubs

Club membership agreements are a key component to the success of a membership club. Our attorneys have extensive experience in structuring and preparing all types of club membership program documents, including founder membership offerings, membership plans, articles and by-laws, rules and regulations, membership agreements, club management agreements, and other related club documents for golf, marina, spa, tennis, equestrian, motorsports, dining, and other forms of private, semi-private, and resort membership clubs.
